Agreement to Terms
By accessing or using the services provided by Red Canvas ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
Services
Red Canvas provides software development services including but not limited to:
- Web application development
- Mobile application development (iOS and Android)
- Full-stack development solutions
- Cloud and DevOps services
- Software consulting and architecture design
Project Engagements
All project engagements are subject to a separate Statement of Work (SOW) or contract that will outline:
- Scope of work and deliverables
- Project timeline and milestones
- Pricing and payment terms
- Intellectual property rights
- Confidentiality requirements
Intellectual Property
Unless otherwise specified in a project agreement:
- All intellectual property created during a project engagement shall be transferred to the client upon full payment
- Red Canvas retains the right to use general knowledge, skills, and experience gained during the project
- Pre-existing intellectual property and third-party components remain the property of their respective owners
Payment Terms
Payment terms for each project will be specified in the project agreement. Generally:
- A deposit may be required before work commences
- Progress payments may be tied to milestone deliverables
- Final payment is due upon project completion and delivery
- Late payments may be subject to interest charges as specified in the contract
Confidentiality
We treat all client information as confidential. We will not disclose your proprietary information to third parties except as required to complete your project or as required by law. Both parties agree to protect confidential information with the same degree of care used for their own confidential materials.
Warranties & Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. However:
- We do not guarantee that software will be entirely error-free
- We are not responsible for issues arising from third-party services or integrations beyond our control
- Services are provided "as is" without warranties of merchantability or fitness for a particular purpose beyond what is explicitly stated in the project agreement
Limitation of Liability
To the maximum extent permitted by law, Red Canvas shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim shall not exceed the total fees paid by the client in the twelve (12) months preceding the claim.
Termination
Either party may terminate a project engagement as specified in the project agreement. Upon termination:
- Client is responsible for payment for all work completed to date
- Deliverables completed up to the termination date will be provided to the client
- Any deposits may be subject to forfeiture based on work already performed
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts of Miami-Dade County, Florida.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms. We encourage you to review this page periodically.
